Governing Your Use of Namma Bill E-Way Bill Software

Important Notice
PLEASE READ THESE TERMS CAREFULLY. By accessing or using Namma Bill, you agree to be bound by these Terms & Conditions. If you do not agree with all terms, you must not access or use our services. These terms constitute a legally binding agreement between you and Zucus Technology Private Limites.
1. Definitions & Interpretation
- "Agreement": These Terms & Conditions, Privacy Policy, and any applicable addendums.
- "Service": Namma Bill software platform for E-Way Bill generation and billing management.
- "User": Any individual or entity that registers for, accesses, or uses the Service.
- "Subscription": The paid access period to the Service.
- "Content": All data, information, and materials uploaded or generated through the Service.
- "Assisted Service": Support provided where our personnel perform actions on your behalf.
2. Acceptance & Modification of Terms
- By creating an account or using our Service, you accept these Terms in their entirety.
- We reserve the right to modify these Terms at any time. Continued use after modifications constitutes acceptance.
- Material changes will be notified via email or in-app notifications at least 30 days before implementation.
- It is your responsibility to review these Terms periodically for updates.
3. Eligibility & Account Registration
3.1 Eligibility Requirements
- You must be at least 18 years of age.
- You must possess a valid GSTIN for business use.
- You must have the authority to bind your business/organization to these Terms.
- You must provide accurate, current, and complete registration information.
3.2 Account Security
- You are solely responsible for maintaining the confidentiality of your login credentials.
- You must immediately notify us of any unauthorized access or security breach.
- We reserve the right to disable accounts that violate these Terms or pose security risks.
- Multiple accounts for the same business entity are prohibited without written consent.
4. Assisted Service Terms
4.1 Service Description
Namma Bill offers assisted service where our support team can perform specific actions on your account at your request, including but not limited to:
- Creating and managing invoices/E-Way Bills based on your verbal/written instructions
- Updating inventory, customer, or product information
- Troubleshooting technical issues requiring account access
- Assisting with data migration or bulk operations
4.2 User Authorization & Responsibilities
By requesting assisted service, you expressly:
- Authorize our support personnel to access your account as your agent for specified tasks
- Certify that all information provided for assisted service is accurate and legally compliant
- Acknowledge that you remain solely responsible for the accuracy and GST compliance of all generated documents
- Agree to review all actions performed on your behalf and report discrepancies within 24 hours
- Understand that assisted service does not transfer compliance responsibility to Namma Bill
4.3 Limitations of Assisted Service
- We reserve the right to refuse any assisted service request that appears suspicious or non-compliant
- Assisted service is subject to availability and may incur additional charges
- We are not liable for errors resulting from incorrect information provided by you
- All assisted access is logged and monitored for security purposes
5. Subscription & Payment Terms
5.1 Subscription Plans
- We offer various subscription plans with different features and limits
- Subscriptions automatically renew unless cancelled before the renewal date
- Prices are subject to change with 30 days prior notice
- All fees are exclusive of applicable taxes (GST)
5.2 No Refund Policy
ALL PAYMENTS ARE NON-REFUNDABLE UNDER ANY CIRCUMSTANCES.
- No refunds for partial months, non-usage, or early cancellation
- No refunds for service dissatisfaction unless service is completely non-functional
- No refunds for account suspension/termination due to policy violations
- No refunds for changes in business requirements or user preferences
- Subscription fees are for access rights, not contingent on usage levels
By subscribing, you acknowledge and accept this no-refund policy.
5.3 Service Suspension & Termination
- We may suspend service for overdue payments, with reinstatement fees applicable
- Accounts inactive for 90+ days may be terminated without refund
- We reserve the right to terminate accounts for Terms violations
- Upon termination, your data will be retained as per our Privacy Policy
6. Intellectual Property Rights
6.1 Our Ownership
- Namma Bill software, code, design, trademarks, and documentation are proprietary property of Zucus Technology Private Limites
- You receive a limited, non-exclusive, non-transferable license to use the Service
- No ownership rights are transferred through your subscription
- Reverse engineering, decompilation, or modification of our software is strictly prohibited
6.2 Your Content
- You retain ownership of all data you upload or generate through the Service
- You grant us a license to process your data for providing the Service
- You are responsible for ensuring you have rights to all uploaded content
- We may anonymize and aggregate your data for analytics and service improvement
7. User Obligations & Compliance
7.1 Legal Compliance
- You must comply with all applicable Indian laws, including GST regulations
- You are solely responsible for the accuracy and compliance of all generated E-Way Bills
- You must maintain proper business records as required by law
- You must not use the Service for any illegal or fraudulent activities
7.2 Prohibited Activities
- Creating fake or fraudulent E-Way Bills
- Attempting to access other users' accounts or data
- Using the Service to transmit malware or spam
- Circumventing security measures or access controls
- Reselling or commercializing the Service without written consent
- Using automated systems to access the Service beyond normal usage
8. Limitation of Liability & Disclaimers
8.1 Important Disclaimers
- The Service is provided "as is" without warranties of any kind
- We do not guarantee uninterrupted, error-free, or secure service
- We are not responsible for GST compliance - you must verify all generated documents
- We do not provide legal, accounting, or tax advice through the Service
- Service availability may be affected by GSTN server status or internet connectivity
8.2 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- Our total liability shall not exceed the subscription fees paid in the last 3 months
- We are not liable for any indirect, consequential, or punitive damages
- We are not liable for business losses, lost profits, or data loss
- We are not liable for GST penalties, interest, or compliance failures
- We are not liable for actions taken during assisted service based on your instructions
- We are not liable for third-party services or GSTN connectivity issues
9. Indemnification
You agree to indemnify, defend, and hold harmless Zucus Solutions and its affiliates from any claims arising from:
- Your use or misuse of the Service
- Your violation of these Terms
- Your violation of any laws or third-party rights
- Any GST non-compliance or penalties
- Inaccurate information provided for assisted service
- Any content you upload or generate through the Service
10. Termination & Consequences
10.1 Termination Rights
- You may terminate your account at any time through account settings
- We may terminate or suspend accounts for Terms violations
- Termination does not entitle you to any refund of subscription fees
- Upon termination, your right to use the Service immediately ceases
10.2 Post-Termination
- We will retain your data as per our Privacy Policy and legal requirements
- You may request data export before termination (subject to fees)
- You remain responsible for any charges incurred before termination
- Provisions regarding intellectual property, liability, and indemnification survive termination
11. Governing Law & Dispute Resolution
- These Terms are governed by Indian laws, without regard to conflict of law principles
- Any disputes shall be subject to the exclusive jurisdiction of courts in Bangalore, India
- You agree to attempt informal resolution for at least 30 days before legal action
- We may seek injunctive relief in any court of competent jurisdiction
- Class action lawsuits and jury trials are waived by both parties
12. Miscellaneous Provisions
12.1 Severability
If any provision is found invalid or unenforceable, the remaining provisions remain in full effect.
12.2 Force Majeure
We are not liable for failures due to circumstances beyond our reasonable control.
12.3 Assignment
You may not assign these Terms without our written consent. We may assign these Terms without restriction.
12.4 Entire Agreement
These Terms, with our Privacy Policy, constitute the entire agreement between us regarding the Service.
